Terms & Conditions.
These Terms and Conditions govern your use of PatriciaCarlin.com and any products, services, programs, audits, consultations, digital materials, and educational content offered through it. Please read them carefully. By using this site or engaging any service, you agree to these Terms.
1 Acceptance of these Terms
By accessing PatriciaCarlin.com, purchasing a product, booking a consultation, or engaging any service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
2 Who we are
Patricia Carlin is a payments expert with 25 years of experience across every side of the payments industry. Through PatriciaCarlin.com she provides advisory, audit, education, and referral services to online businesses. Our services and all related materials reflect that professional experience and expertise.
3 The services we offer
Depending on what you select, our services may include any of the following:
- Fractional payments leadership and consulting.
- The Approved Mystery Buyer and related audits, including the Executive Audit, Full Stack engagements, and the AI Blindspot Audit.
- Payments hiring and candidate vetting.
- Stable merchant account referrals and introductions.
- The Acquisition X-Ray due-diligence review for buyers and sellers.
- Strategy calls and consultations.
- Educational programs, including the Six Weeks to Payment Fluency challenge.
- Digital products, books, guides, and downloadable materials.
- Speaking and related engagements.
Every product and service we offer is based on Patricia Carlin's professional expertise in payments. The specific scope, deliverables, fees, and timing of any engagement are described at the point of purchase or in a separate written agreement, proposal, or statement of work. Where a separate signed agreement conflicts with these Terms, the signed agreement controls for that engagement.
4 No guarantee of results
Our services are advisory and informational in nature. We do not guarantee any specific result, outcome, revenue, savings, approval, dispute outcome, hiring result, ranking, or business performance. Any examples, figures, projections, ranges, or illustrations we provide are for educational purposes and are not promises of what you will achieve.
The results you experience depend heavily on factors that are outside our control, including but not limited to:
- The accuracy, completeness, and timeliness of the information and access you provide to us.
- Your own products, offers, pricing, operations, and team.
- Whether and how you implement our observations and recommendations.
- Decisions made by third parties, including banks, processors, card networks, gateways, regulators, and platforms.
- Market conditions, competition, timing, and other circumstances unique to your business.
You are solely responsible for your own business decisions and for how you use anything we provide. You accept all risk associated with acting, or not acting, on our work.
5 Not legal, financial, or tax advice
Patricia Carlin is a payments professional, not a law firm, accounting firm, registered investment adviser, or licensed financial, tax, or legal advisor. Our services, materials, and communications are provided for general informational and educational purposes and do not constitute legal, regulatory, compliance, financial, investment, accounting, or tax advice, and do not create any professional advisory relationship of that kind. You should obtain advice from your own qualified, licensed professionals before making decisions, and you remain responsible for your own legal and regulatory compliance.
6 Eligibility
You must be at least 18 years old and able to form a binding contract to use the site or purchase our services. Our services are intended for business use. You agree that the information you provide is accurate and that you will keep it current.
7 Your responsibilities
To get value from our services, you agree to cooperate in good faith. Depending on the engagement, this may include providing accurate information, timely access to relevant accounts, systems, offers, or materials, and a point of contact who can respond to requests. You are responsible for:
- The accuracy and legality of the information and access you give us.
- Your own implementation of any recommendation or finding.
- Your own compliance with applicable laws, card network rules, and contracts.
- Maintaining your own backups, records, and security.
If you do not provide the access or cooperation an engagement requires, the scope, timeline, and usefulness of our work may be affected, and this does not entitle you to a refund.
8 Bookings, fees, and payment
Prices are shown at the point of purchase and may change at any time, though changes do not affect engagements already paid for. Unless stated otherwise, fees are quoted in US dollars and are due in full at the time of purchase or as set out in your agreement. Payments are processed by our third-party payment processor (currently Stripe). By submitting payment, you authorize the charge and represent that you are authorized to use the payment method. You are responsible for any applicable taxes. Some engagements may require a deposit or be billed in stages, or by invoice, as described at the time of sale.
9 Refunds and cancellations
All sales are final. Once a product, program, audit, consultation, or other service has been delivered or access has been provided, it is non-refundable. Our products and services embody proprietary methods and trade secrets developed over 25 years, and that value cannot be returned once it has been disclosed or performed. By purchasing, you acknowledge and agree to this no-refund policy.
Where a session can be rescheduled, the rescheduling terms stated at the time of booking apply, and missed sessions without notice are not refundable. Nothing in this section limits any rights you may have under applicable law that cannot be waived.
10 Mystery Buyer and audit engagements
Our Mystery Buyer and audit services involve trained professionals interacting with your business through ordinary, lawful customer activity, such as visiting your site, reviewing your offers and content, making purchases, contacting support, and testing flows you authorize us to test. By engaging us, you authorize this activity against the properties and offers you identify, and you confirm you have the right to grant that authorization.
Our findings, grades, scores, maps, and reports (including the Revenue Intelligence Dossier and the Executive Risk Grade) represent our professional observations and opinions based on the work performed and the information available to us. They are not certifications, audits in any regulatory or accounting sense, guarantees of completeness, or assurances of any particular outcome. We do not undertake to discover every issue, and acting on our findings is your decision.
11 Merchant account referrals
Where we help you obtain merchant processing, we act as a referral source and introducer to acquiring banks, processors, and partners. Approval, pricing, terms, reserves, limits, and ongoing account decisions are made solely by those banks, processors, and partners, not by us. We do not guarantee approval, retention, or any specific terms, and we are not responsible for the decisions, acts, or omissions of those third parties or for any holds, freezes, or terminations they impose.
12 Digital products and education
When you purchase a digital product or enroll in a program, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials for your own internal business and educational purposes. You may not share access credentials, distribute, resell, sublicense, publicly post, or use the materials to build or deliver a competing product or service. Program formats, schedules, and content may be updated, and access may be time-limited as described at purchase.
13 Intellectual property and trade secrets
Everything we create, use, and provide is the result of 25 years of specialized payments knowledge and represents valuable intellectual property and trade secrets. This includes, without limitation, all content on this site, our methodologies, frameworks, processes, audit techniques, evaluation criteria, checklists, scripts, prompts, report structures and formats, scoring and grading systems, the Revenue Intelligence Dossier, course and training materials, templates, and the specific know-how, judgment, and trade-secret methods we apply in delivering services. All of it is owned by Patricia Carlin and is protected by copyright, trademark, trade-secret, and other laws.
What you may do
For deliverables we prepare specifically for you, such as a report or audit, we grant you a limited, non-exclusive, non-transferable, revocable license to use that deliverable for your own internal business purposes. We retain ownership of all underlying methods, know-how, formats, and pre-existing and general-purpose materials used to create it.
What you may not do
You agree that you will not, and will not permit anyone else to:
- Copy, reproduce, republish, distribute, display, sell, resell, license, or sublicense our content, materials, methods, or services.
- Reverse engineer, decompile, or attempt to derive, recreate, or imitate our methodologies, processes, frameworks, or trade-secret methods.
- Use our materials, methods, deliverables, or know-how to create, train, market, or operate a competing product, service, audit, course, or offering.
- Record, transcribe, or capture sessions, calls, or program content without our prior written consent.
- Remove or alter any proprietary notice, or scrape, data-mine, or harvest content from the site.
- Share login credentials or paid access with any person or entity outside your license.
Our names, logos, and marks, including "The Profit of Payments," "The Approved Mystery Buyer," "Revenue Intelligence Dossier," "Acquisition X-Ray," and "AI Blindspot Audit," are our trademarks and may not be used without our prior written permission. You acknowledge that our methods derive independent economic value from not being generally known, that we take reasonable steps to keep them secret, and that any unauthorized use or disclosure would cause us irreparable harm for which money damages alone are inadequate, entitling us to seek injunctive relief in addition to any other remedy.
14 Confidentiality
Each party may receive confidential information from the other. We will treat the non-public information you share with us in connection with an engagement as confidential and use it only to provide the services, except where disclosure is required by law. In turn, you agree to treat our non-public methods, materials, pricing, and deliverables as our confidential information and trade secrets, as described above. These obligations continue after the engagement ends.
15 Acceptable use of the site
You agree not to use the site to break the law, infringe rights, transmit malware, attempt to gain unauthorized access, interfere with the site's operation, or misrepresent your identity. We may suspend or restrict access to anyone who violates these Terms.
16 Testimonials and case studies
Any testimonials, examples, case studies, or results we share reflect specific situations and are not typical, not promises, and not a guarantee that you will achieve the same or similar outcomes. Some details may be anonymized or composited to protect confidentiality.
17 Third-party services and links
The site and our services may rely on or link to third parties, such as payment processors, scheduling tools, hosting providers, banks, and platforms. We do not control and are not responsible for the content, products, policies, or practices of any third party. Your use of a third-party service is governed by that party's own terms and privacy policy.
18 Disclaimers
To the fullest extent permitted by law, the site, products, and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the site will be uninterrupted, error-free, or secure, or that any information is complete or current.
19 Limitation of liability
To the fullest extent permitted by law, Patricia Carlin and its owners, members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the site or services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or related to the site or a service will not exceed the amount you actually paid to us for the specific product or service giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
20 Indemnification
You agree to indemnify and hold harmless Patricia Carlin and its owners, members, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the site or services, your business decisions, your implementation of any recommendation, your violation of these Terms, or your violation of any law or the rights of a third party.
21 Term and termination
These Terms apply while you use the site or any service. We may suspend or terminate your access or an engagement if you breach these Terms, if required by law, or to protect the site or our rights. Provisions that by their nature should survive, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive termination.
22 Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The parties agree that any dispute arising out of or relating to these Terms, the site, or our services will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts. If any provision is found unenforceable, the rest remains in effect.
23 Changes to these Terms
We may update these Terms from time to time. The "last updated" date above shows when. Material changes take effect when posted, and your continued use of the site or services after changes are posted means you accept the updated Terms.
24 General
These Terms, together with our Privacy Policy and any signed engagement agreement, are the entire agreement between you and us regarding the site and services. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. Neither party is liable for delays or failures caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between us.
